These terms and conditions ("Terms") govern the Ad Pay Protection (A.P.P.) Program ("Program"). This Program is incorporated into and forms part of your Master Services Agreement with Dash.fi, Inc. ("Dash.fi"). The terms, “Company” or “you”, has the same definition as defined in the Master Services Agreement, Cardholder Agreement, and Platform Agreement and means the company that has opened a dash.fi Account to use these services. The Program is designed to help identify and obtain refunds for invalid advertising traffic on supported advertising platforms including, but not limited to, Google Ads and Meta Ads.
1. Definitions
Some terms are defined in other agreements you have with Dash.fi. If we use capital letters, those definitions apply here too.
2. Program Overview
Dash.fi will check your ad accounts every month to identify bad traffic (called "Invalid Traffic"). This includes fake clicks, bots, spam, or traffic from outside your target location. If we find that you were overcharged, we’ll request a refund or dispute from the ad platform for you.
Additionally, dash.fi will provide customer audience exclusions and provide IP blocking exclusions lists to proactively prevent users from ever paying for invalid clicks in the first place. This savings will be reported monthly and will contribute to the 3% back guarantee.
3. Qualifications & Exclusions (& Requirements?)
3.1 Dash.fi customers who meet the following qualifications are eligible to join the APP Program.
3.1.a Dash.fi Requirements
- Must be a registered Dash.fi account holder
- Must have your Dash.fi card set as your default payment method for one of the supported Ad Networks.
3.1.b Ad Network Audit Submission Requirements
- In order to request an audit you must be spending a monthly minimum of $100K on an individual ad account basis; not collectively across the network.
- Eligibility for audit requests requires a minimum monthly ad spend of USD $100,000.00 per individual advertising account. This threshold must be met for each individual advertising account and cannot be satisfied by aggregating spend across multiple accounts or networks. Dash.fi reserves the right to modify this threshold upon thirty (30) days' written notice.
3.1.c Exclusions of Service
- Companies that are unable to meet requirements to successfully register a Dash.fi account.
- Ad Spend that clears at International Exchange rates below the threshold to allow Dash.fi to extend a 3% rebate on that ad spend as listed in Section 6.1.
3.2 To enroll, you must:
- Add the Dash.fi tracking pixel to your website.
- Give Dash.fi permission to access your Google Ads and Meta Ads accounts.
- Allow Dash.fi to upload customer audience exclusions into Meta and a list of IP’s to block in Google every day.
4. Our Responsibilities
4.1 Monthly Checks
We’ll audit your ad accounts regularly to spot Invalid Traffic and figure out how much you may be owed.
4.2 Refunds
Refund Requests to Ad Platforms. Dash.fi will submit refund requests (“Refunds”) to the supported advertising networks (e.g., Google, Meta) on your behalf to recover overcharges, invalid traffic, or other billing errors. These Refunds are processed under the ad platform’s internal policies and timelines, which may take up to six (6) months or more to resolve.
4.3 Audience Exclusions
Dash.fi will upload custom audiences to your Meta campaigns to exclude monthly and report on the total savings of invalid clicks that audience prevented each month. With Google, dash.fi will upload up a list of IP’s to block relevant to your campaigns daily for you to exclude and the total savings of invalid clicks from the IP blocking will be reported on each month.
4.4 Authorization for Virtual Card Management
Issuance and Management of Virtual Cards: You hereby authorize Dash.fi to issue, manage, and maintain virtual payment cards (“Virtual Cards”) associated with your account for the purpose of facilitating payments. Dash.fi may, at its discretion, create, update, or replace Virtual Cards as necessary to ensure continuity of service, compliance with network rules, or optimization of transaction performance.
4.5 Billing Threshold Limits - Authority to Increase Billing Thresholds
You authorize Dash.fi to request, on your behalf, increases to billing thresholds or credit limits imposed by payment processors, advertising platforms, or other integrated third-party systems as necessary to maintain account functionality and uninterrupted ad spend or transactional capacity.
5. Cardholder Responsibilities
5.1 Use the Dash.fi Card
Set the Dash.fi Card as your default payment method on ad platforms where allowed.
5.2 Keep the Pixel Active
Keep the Dash.fi pixel on your website and make sure the connected ad accounts stay active.
5.3 Platform Access
Give Dash.fi access to your ad platforms:
- Google Ads: grant and maintain access to Dash.fi’s Google Ads MCC account via account link.
- Meta Ads: grant and maintain Partnership Access to Dash.fi’s Partner ID: 646884015417961
5.4 Audience Exclusions and IP Blocking
- You grant permissions to dash.fi to upload exclusion audiences and include them into your active campaigns as well as upload a list of IP’s you should block from your ad account.
- IP Blocking applies to the Google Ads network.
- Negative Audience Exclusions applies to the Meta Ads network.
- At your request, you may also ask Dash.fi to bifurcate this service feature.
- You hereby grant Dash.fi an irrevocable, royalty-free license and permission to: (i) upload and manage exclusion audiences for your active campaigns; and (ii) provide and implement IP blocking lists for your ad accounts. You acknowledge that failure to maintain these permissions may result in service interruption and/or termination of Program benefits.
5.5 Keep Info Up-to-Date
Let us know about any changes to your ad campaigns or settings.
6. Rebate & Rewards
6.1 Dash.fi Card
Subject to the terms and conditions herein, Dash.fi will provide a rebate of up to 3% of qualifying ad spend, consisting of:
- (i) 2.00% paid monthly on a net-60 basis, and
- (ii) 1.00% paid annually as a loyalty bonus, provided all eligibility requirements are met and maintained throughout the applicable period.and 1.00% Annual Loyalty.
- Example: If dash.fi’s custom audience exclusions, IP blocking, and refund recovery save you 4% of blocked invalid traffic then this counts as credit towards the 3% savings back guarantee and dash.fi would then invoice for the full 4% and net 1%.
- If you are using A.P.P. in tandem with Net-terms, your rebate is reduced in accordance with your base rebate paid out monthly Net-60.
6.2 Google Invoice Only
There is no performance or savings guarantee with Google ads.
- If dash.fi’s custom audience exclusions, IP blocking, and refund recovery save you 4% of blocked invalid traffic then this counts as credit towards the 3% savings back guarantee and dash.fi would then invoice for the full 4% and net 1%.
6.3 Savings Waterfall (Ad Performance Savings)
- Meta: For savings from your invalid clicks, recoveries and audience clicks will first waterfall from the ad performance. If the ad performance delivers 0% savings then dash.fi will pay out 3% cashback as referenced in Section 6.1.
- Google: The savings from the invalid clicks will be reported from the performance on your ad account.
7. Servicing
7.1 Fees
7.1.a Free Trial for New Clients
New users may get one month of service where our fee is 0% of the rebate we recover. After that, standard fees apply.
7.1.b Our Service Fee (Ad Pay Protection Fee)
- Meta Card Payments: Our fee is 50% of the rebate. Influencers pay only 40%.
- Google Payments: our fee is 50% of the ad performance savings from blocking invalid clicks via our IP list exclusions.
7.2 Invoices
7.2.a Delivery of Invoice
- We’ll send an invoice when ad savings is in excess of 6% from audience exclusions, IP blocking, and refund recoveries. Payment is due within 30 days.
7.2.b How You Can Pay
- From your linked bank account
- From a pre-paid balance
- From your cash rewards
7.3 Payments to Dash.fi
7.3.a Late Payments
- If you don’t pay your invoice within 14 days after it’s due, the following will happen:
- You’ll owe a 1.5% late fee on the unpaid balance.
- Interest will be charged at 18% annual rate (1.5% per month) until it’s paid.
- We may pause your APP Program access.
We’ll notify you before adding fees or suspending service.
8. Attribution and Marketing Use
8.1 Results of Service
You agree that Dash.fi can say its platform helped improve your rebates. We may use anonymous data in case studies and marketing, but we won’t use your name without asking.
9. Confidentiality
Dash.fi & Client agree to keep each other’s private information confidential and only use it as it relates to the APP Program. This doesn’t apply if the info:
- Becomes public public record
- Was already known without restrictions
- Was shared by someone not bound by confidentiality
- Was created independently
10. Limitation of Liability
You agree that Dash.fi is indemnified for:
- Your participation in the APP Program
- Any lost revenue
- Decisions made by the ad networks
- Claims from third parties related to the program
11. Other Legal Terms
11.1 Amendment to terms
Dash.fi can amend these terms at any time without notice.
12. Program Termination
12.1 Service Dissolvement
We reserve the right to end or suspend the program at any time. If the overall Platform or Rewards Program ends, these terms dissolve.
